Terms of Service

1. Scope of Services

Thinkclub provides digital infrastructure consulting, design, and capacity-building services to educational institutions. Our services include — but are not limited to — digital strategy and audits, branding and identity systems, platform advisory (ERP, LMS), design lab partnerships, course digitisation support, training programs, and knowledge platform development.

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or engagement letter agreed upon by both parties before work begins.

2. Engagement Model

Our engagements typically follow a structured process:

  • Discovery & diagnosis — stakeholder interviews, system audits, and maturity assessment
  • Strategy & blueprint — collaborative roadmap development and architecture design
  • Implementation — phased delivery of agreed deliverables (branding, systems, training)
  • Capacity building — knowledge transfer, documentation, and institutional team training
  • Advisory & review — periodic follow-ups for optimisation and new initiatives

Each phase may be scoped independently or as part of a comprehensive engagement, depending on the institution's needs and readiness.

3. Intellectual Property & Deliverables

3.1 Client Deliverables

All deliverables produced specifically for your institution — including strategy documents, brand identity assets, design systems, training materials, and configured platforms — are owned by the institution upon full payment for the relevant engagement phase.

3.2 Thinkclub Frameworks & Methodologies

Our proprietary methodologies, frameworks, templates, and processes (such as our digital maturity assessment model, capacity-building curricula, and governance frameworks) remain the intellectual property of Thinkclub. Institutions receive a licence to use these frameworks within their organisation for the duration of the engagement and any agreed extension period.

3.3 Open-Source & Third-Party Components

Where we integrate open-source tools or third-party software into a deliverable, we clearly document the licences and attribution requirements. The institution is responsible for ongoing compliance with those licences.

4. Confidentiality

Both parties agree to treat all non-public information shared during the engagement as confidential. This includes:

  • Institutional documents, system credentials, and internal communications
  • Strategic plans, audit findings, and roadmap details
  • Financial terms, fee structures, and engagement scoping documents
  • Student and faculty data that may be incidentally accessed during system audits

Confidentiality obligations survive the termination of the engagement for a period of two (2) years.

5. Client Responsibilities

For engagements to succeed, the institution agrees to:

  • Designate a primary point of contact with authority to make project decisions
  • Provide timely access to stakeholders, systems, and documents as outlined in the SOW
  • Review and provide feedback on deliverables within the agreed timelines
  • Ensure internal approvals (budget, branding, content sign-off) do not unreasonably delay project milestones
  • Participate actively in workshops, training sessions, and knowledge transfer activities

6. Fees & Payment

  • Fees are defined in the SOW and are typically structured as milestone-based payments aligned with deliverable handoffs
  • A discovery or scoping phase may be offered at a fixed fee or complimentary, depending on the engagement
  • Invoices are issued upon milestone completion and are payable within 30 days unless otherwise agreed
  • Travel, accommodation, and third-party tool costs (if any) are billed at actuals with prior approval

7. Limitation of Liability

Thinkclub provides consulting advice and design services based on our professional expertise and documented methodologies. We do not guarantee specific outcomes such as enrolment increases, ranking improvements, or vendor performance. Our liability for any engagement is limited to the total fees paid for the specific phase under dispute.

We are not liable for decisions made by the institution based on our recommendations, third-party tool failures, or delays caused by factors outside our reasonable control.

8. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination:

  • All completed deliverables are handed over to the institution
  • Fees for work completed up to the termination date are due and payable
  • Institutional data and documents in Thinkclub's possession are returned or securely deleted within 30 days
  • Confidentiality obligations continue as specified in Section 4

9. Use of This Website

The content on this website — including text, design, and illustrations — is provided for informational purposes. It does not constitute a contractual offer. Engagement terms are governed solely by the signed SOW or engagement letter.

You may not reproduce, redistribute, or commercially exploit any content from this website without prior written permission from Thinkclub.

10. Governing Law

These terms are governed by the laws of India. Any disputes arising from an engagement shall first be addressed through good-faith negotiation, followed by mediation if necessary, before pursuing formal arbitration or legal proceedings.
